By accessing or using the RiskWise platform (the "Service"), operated by JOOP LLC, doing business as RiskWise ("RiskWise," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Acceptable Use Policy. If you do not agree to these Terms, do not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. "You" and "your" refer to both the individual and the entity.
RiskWise is a risk management platform designed for construction subcontractors and specialty trade contractors. The Service includes contract analysis, insurance tracking, safety compliance tools (including toolbox talks and training delivery), subcontractor compliance management, employee handbooks, HR and safety document templates, and the AskRW AI research assistant.
We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that significantly reduce functionality available under your current Subscription.
To use the Service, you must create an Account with accurate and complete information. You are responsible for maintaining the security of your Account credentials, including passwords managed by Supabase Auth, and for all activities that occur under your Account.
You must promptly notify us at Hello@GetRiskWise.com if you suspect unauthorized access to your Account. We are not liable for losses resulting from unauthorized use of your Account credentials.
We offer a 14-day free trial of the Service. During the trial, you have access to the features included in your selected plan. At the end of the trial period, your Subscription will automatically convert to a paid Subscription unless you cancel before the trial expires.
We reserve the right to limit free trials to one per individual and per payment method. If we determine that you have previously used a trial (including under a different email address), we may terminate the trial and require payment.
Access to the Service requires a paid Subscription after the free trial period. By subscribing, you authorize us to charge your payment method on a recurring basis through our payment processor, Stripe.
Subscription plans and pricing are as displayed on our website at the time of purchase. All fees are in U.S. dollars and are exclusive of applicable taxes. You are responsible for any taxes associated with your Subscription.
Charges will appear on your statement as RiskWise. If a payment fails, we may retry the charge and/or suspend access to the Service until payment is received.
Your Subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current rate unless you cancel before the renewal date. You may cancel your Subscription at any time through your account settings or by contacting us.
Upon cancellation, you will retain access to the Service through the end of your current billing period. No partial refunds are provided for unused portions of a billing period.
California Auto-Renewal Law (ARL) Compliance: By subscribing, you acknowledge and agree that your Subscription will automatically renew. We will send you a reminder email before each renewal. You may cancel at any time by visiting your account settings or emailing Hello@GetRiskWise.com.
Subscription fees are generally non-refundable. However, if you cancel within the first 14 days of your initial paid Subscription (after the free trial), you may request a full refund by contacting us at Hello@GetRiskWise.com.
We may, at our sole discretion, provide refunds or credits in other circumstances.
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to:
The Service uses artificial intelligence to analyze contracts, surface risk information, and provide educational content. RiskWise is not a law firm, insurance agency, or licensed professional services provider. All AI-generated analysis, suggested contract language, coverage gap reports, and AskRW responses are provided for informational and educational purposes only and do not constitute legal advice, insurance advice, or any other form of licensed professional advice.
Suggested contract language provided by the Service is a starting point for discussion with your attorney — not a finished legal product. Coverage analysis is based on common exposures for your trade and may not reflect your specific policy terms. You should consult with qualified legal counsel, a licensed insurance professional, and other appropriate advisors before making business decisions based on information provided by the Service.
You acknowledge that: (a) AI-generated content may contain errors or omissions; (b) laws, regulations, and insurance requirements change frequently and vary by jurisdiction; (c) the Service does not replace the judgment of licensed professionals who understand your specific circumstances; and (d) you bear sole responsibility for decisions made based on information provided by the Service.
RiskWise is not an insurance company, agency, broker, or adjuster. The Service does not sell, solicit, negotiate, or bind insurance policies. Coverage gap analyses, audit figure tracking, and insurance-related features are provided solely for your informational use and do not constitute insurance advice.
The Service's analysis of your certificates of insurance (COIs) and policy documents is based on the information you upload and may not reflect actual coverage terms, endorsements, exclusions, or conditions. Always verify coverage details with your licensed insurance broker or carrier.
RiskWise shall not be liable for any losses, claims, or damages arising from reliance on insurance-related information provided by the Service, including but not limited to coverage gaps, lapsed policies, or incorrect audit figures.
Documents and data you upload to the Service are processed using third-party AI services to provide analysis and responses:
Your uploaded content is sent to these AI providers solely for the purpose of generating analysis results or embeddings. RiskWise does not use your uploaded documents to train any AI model, and we do not permit our AI subprocessors to do so. See our Privacy Policy and Subprocessors page for details.
You grant RiskWise a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to create, use, analyze, publish, and commercialize Aggregated Data derived from your Content and use of the Service. Aggregated Data is de-identified and anonymized such that it cannot reasonably be linked to you, your company, or any specific contract, document, or individual.
This license survives termination of your Account or these Terms. There is no opt-out for Aggregated Data because it is not personal information and cannot be traced to any individual or entity. Examples of Aggregated Data include industry-wide risk trend reports, common contract clause patterns, and coverage gap statistics.
RiskWise may license or sell Aggregated Data to third parties, including insurance carriers, industry researchers, and other commercial entities. You will not receive compensation for such use.
You retain ownership of all Content you upload to the Service. By uploading Content, you grant RiskWise a limited, non-exclusive license to process, store, and analyze your Content solely for the purpose of providing and improving the Service, and to create Aggregated Data as described in Section 13.
You represent and warrant that you have the right to upload all Content and that your Content does not violate any third party's intellectual property or privacy rights. You are solely responsible for the accuracy and legality of your Content.
The Service, including its design, features, code, content, trademarks, and documentation, is owned by JOOP LLC and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service under these Terms.
AI-generated outputs (analysis, suggested language, AskRW responses) are provided as part of the Service. You may use these outputs in connection with your business operations, but you may not resell, redistribute, or commercially exploit the outputs as standalone products.
RiskWise offers optional SMS text messaging as part of the Service. SMS messaging is entirely optional and is not required to create an account, maintain a subscription, or access any feature of the Service. All platform functionality is available via the web application and email without SMS.
SMS messages are sent only to users whose phone numbers have been added to the platform and for whom explicit consent has been obtained. Message frequency varies (typically 1–4 messages per week). Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
You may opt out by replying STOP to any message. For help, reply HELP or contact Hello@GetRiskWise.com. See our SMS Consent Policy and Privacy Policy for details.
The Service integrates with third-party services including Stripe (payments), Supabase (database and auth), Anthropic (AI analysis), OpenAI (embeddings), Resend (email), Telnyx (SMS), Vercel (hosting), Upstash (rate limiting), Sentry (error monitoring), and Cloudflare (DNS and email routing).
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, security, or practices of third-party services. See our Subprocessors page for the current list.
We treat your uploaded Content as confidential and will not disclose it to third parties except: (a) to our subprocessors as necessary to provide the Service; (b) as required by law; (c) in de-identified, aggregated form as described in Section 13; or (d) with your express consent.
This confidentiality obligation does not apply to information that is publicly available, was known to us before you provided it, or was independently developed without reference to your Content.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) AI-generated content will be accurate, complete, or suitable for any purpose; (c) the Service will meet your specific requirements; or (d) defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RISKWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless RiskWise, JOOP LLC, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your Content; or (d) your violation of any third-party rights.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Ann Arbor, Michigan.
The arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of small claims court may be filed there.
YOU AND RISKWISE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
If this class action waiver is found to be unenforceable, then the entirety of Section 22 (Arbitration) shall be null and void, and the dispute shall proceed in court.
By you: You may cancel your Subscription and close your Account at any time through your account settings or by contacting us. Access continues through the end of your current billing period.
By us: We may suspend or terminate your access to the Service immediately if you violate these Terms, the Acceptable Use Policy, or any applicable law. We may also terminate your Account with 30 days' notice for any reason.
Upon termination, your right to use the Service ceases immediately (or at the end of the billing period for voluntary cancellation). Sections that by their nature should survive termination (including Aggregated Data Rights, Limitation of Liability, Indemnification, Arbitration, and Class Action Waiver) shall survive.
Upon Account closure, you have a 30-day window to request export of your data. After 30 days, your personal data will be deleted in accordance with our Privacy Policy. Backups may be retained for up to 60 additional days for disaster recovery purposes.
To request a data export, contact us at Hello@GetRiskWise.com within 30 days of closing your Account.
Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.
We may modify these Terms at any time. For material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must cancel your Subscription before the effective date. We will post the current version of these Terms at getriskwise.com/terms with the effective date.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
These Terms, together with the Privacy Policy, Acceptable Use Policy, and any other policies referenced herein, constitute the entire agreement between you and RiskWise regarding the Service and supersede all prior agreements, representations, and understandings.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles. Subject to the arbitration provisions in Section 22, any legal action arising from these Terms shall be brought in the state or federal courts located in Washtenaw County, Michigan.
